TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your use of the myStash services

(“Services”) and MyStash App, other mobile application, websites, software,

systems (including any networks and servers used to provide any of the Services)

operated by myStash or on its behalf (collectively the “Platform”).


These Terms form a comprehensive binding agreement between you and MyStash

Limited. (“myStash” “Company” "we," "us," or "our").


By accessing or using our Platform you agree to comply with and be bound by these

Terms. Please read these Terms carefully before using our Services.


It is crucial to familiarize yourself with these Terms and the referenced policies, as

they govern your relationship with myStash. If you do not agree with any part of

these Terms or our policies, please refrain from using our Services.

MEMBERSHIP WITH MYSTASH LIMITED.

By opening an account with myStash, you automatically become a digital member of

myStash, a financial service company incorporated under the laws of the United

Kingdom. myStash Limited is the legal entity responsible for facilitating your savings

towards emergencies and other financial goals through its financial management

platform that allows anyone who uses the Services (“User”) to save money in a novel

and seamless way: saving a percentage automatically every time you earn or spend.

ELIGIBILITY

To use the Services, you must be a resident of the United Kingdom and at least 18

years old or the age of majority in your region.

REGISTERING, OPENING, AND USING A MYSTASH ACCOUNT

To utilize our Services, you must register for a myStash Account ("myStash

Account"), through the official website or the myStash Mobile App on the Google

Play store or Apple App store


To register, open, use, or upgrade your myStash Account, you will be required to

submit information, including but not limited to your name, email address,

text-enabled mobile phone number, street address, zip code, date of birth, social

security number, and a government-issued identification, and any other information

or documentation as requested by myStash from time to time (“User Information”).

You represent and warrant the ownership of the email or mobile phone number

registered and that all provided User Information is true, accurate and complete. It is

your responsibility to ensure that the User Information is kept up-to-date.


We may suspend access to your myStash Account, and your use of the Services, if it

comes to our attention that any of your User Information is false, misleading, or

inaccurate.

LINKING YOUR BANK ACCOUNT

Upon opening your myStash Account, to use certain features of the myStash App,

you are required to link your external, U.K.-issued bank account ("Bank Account")

to your myStash Account. The linking process involves logging into your bank

account through the myStash App to grant access to your financial records. It is

important to note that myStash does not store or save your bank login information.

VALIDATING AND AUTHENTICATING YOUR IDENTITY

By using our Services and providing User Information, you automatically authorize

myStash to obtain, directly or indirectly through third-party service providers, further

information about you and your Bank Account, for the purpose of validating and

authenticating your identity and User Information. This authorization extends to

obtaining information from the licensed financial institution holding your Bank

Account, as well as other third-party websites and databases necessary to provide

the Services. You acknowledge that this authorization does not have a time limit, and

whilst you are currently not required to pay any fees for this information retrieval, in

the event where information retrieval attracts fees, MyStash reserves the right to

revise these Terms accordingly and the provisions of Clause 21 of these Terms shall

apply.


Providing confirmation of identity and User Information as requested is essential for

Account use. Failure to provide requested information or unsatisfactory identity

verification may result in the discontinuation of your Account or termination of your

access to our Services.

USE OF YOUR MYSTASH ACCOUNT

You are only authorized to use our Services and the Platform for personal financial

management and savings purposes. Authorized use includes accessing your

myStash Account, conducting transactions within the parameters of the Services,

and utilizing features provided by myStash for your personal use.


Please note that you are solely responsible for determining whether the funds

debited from your Bank Account and the funds maintained in your myStash Account

are acceptable to you.

SECURITY OF ACCOUNT

myStash remains committed to the security of the Platform, user data, and user

assets, however, it is important that myStash users treat the login credentials used to

access the Platform as confidential information and avoid disclosure to any other party, or parties. As a user, you hereby agree that you are totally responsible for the

security of your account and its login credentials. myStash shall not be liable for any

loss or damage caused by authorized or unauthorized use of your login credentials.

You hereby acknowledge that you understand that myStash will never ask for your

login credentials via email, SMS, social media, instant messenger, or any other

channel.

UNAUTHORIZED ACTIVITIES

Your myStash Account and/or your access to the Services may be limited,

suspended or terminated subject to myStash’s discretion, where you engage in

unauthorized activities including but not limited to:


  1. use of the Platform or Services for commercial purposes or on behalf of any

    third party;


  2. illegal, fraudulent, or malicious activities;


  3. any action that disrupts, interferes with, or compromises the security or integrity

    of myStash or our Services;


  4. transmission or distribution of harmful content, including viruses, malware, or

    any other form of destructive code;


  5. activities that violate applicable laws, regulations, or the rights of others;


  6. any use that contradicts the intended purpose of our Services or that may harm

    the reputation of myStash or any of its affiliates;


  7. facilitate any viruses, trojan horses, malware, worms or other computer

    programming routines that attempts to or may damage, disrupt, corrupt,

    misuse, detrimentally interfere with, surreptitiously intercept or expropriate, or

    other attempt to gain unauthorized access to any of myStash system, data,

    information or our Services;


  8. use an anonymizing proxy; use any robot, spider, other automatic device, or

    manual process to monitor or copy our websites without our prior written

    permission; or use any device, software or routine to bypass our robot

    exclusion headers;


  9. interfere or disrupt or attempt to interfere with or disrupt our websites, software,

    systems (including any networks and servers used to provide any of the

    Services) operated by us or on our behalf, any of the Services or other Users’

    use of any of the Services;


  10. taking any action that may cause us to lose any of the Services from our

    internet service providers, payment processors, or other suppliers or service

    providers;


  11. circumvent any myStash policy or determinations about your myStash Account

    such as temporary or indefinite suspensions or other account holds, limitations

    or restrictions, including, but not limited to, engaging in the following actions:


  12. attempting to open new or additional myStash account(s) when your myStash

    Account has been restricted, suspended or otherwise limited;


  13. opening new or additional myStash Accounts using User Information that is not

    your own (e.g. name, address, email address, etc.); or


  14. using someone else’s myStash Account; or


  15. harass and/or threaten our employees, agents, or other Users.


Additionally, myStash reserves the right to take legal action and/or report

non-permitted activities to relevant authorities.

SECURITY OF CREDENTIALS

You are responsible for maintaining the confidentiality of your myStash Account

credentials (username, passwords etc.) and any information related to the linking of

your Bank Account. Except as expressly stated in these Terms or required by

applicable laws, we disclaim responsibility for losses related to unauthorized access

or transactions. myStash employs industry-standard security measures to protect

your data; however, you acknowledge that no system is completely free from risks.


Except as otherwise required by applicable law, you are responsible for all

transactions and activities, whether authorized or unauthorized, conducted using

your username, password, or mobile device. We are not liable for any losses arising

from the loss or theft of your User Information or mobile device or unauthorized or

fraudulent transactions associated with your Bank Account or myStash Account.


You are encouraged to report any suspected non-permitted use or security concerns

promptly. Reports can be submitted to myStash via the contact details provided in

the "Contact Information" section of these Terms.

ACCOUNT LIMITATIONS/SUSPENSION AND CLOSURE

Limitations are implemented to help protect Users when we notice restricted

activities, an increased financial risk, or activity that appears to us as unusual or

suspicious. Limitations are necessary to enable us to collect information necessary

for keeping your myStash Account open.


There are several reasons why your myStash Account could be limited, suspended

or closed, including:


  1. If we reasonably suspect someone could be using your myStash Account

    without your knowledge, we’ll limit it for your protection and look into the

    fraudulent activity.


  2. Fraudulent, illegal or illegal transactions are being perpetrated through your

    myStash account.


  3. If your bank lets us know that there have been unauthorized transfers between

    your myStash Account and your Bank Account.


  4. In order to comply with applicable laws.


  5. In compliance with an order of a court of competent jurisdiction.


  6. If we believe in our sole discretion that you have breached these Terms or

    violated any of our policies or an applicable law.


  7. Account dormancy pursuant to Clause 12.


Unless a permanent limitation is placed on your account, you will need to resolve any

issues with your Bank Account in connection with your myStash Account before a

limitation can be removed. Normally, this is done after you provide us with the

information we request. However, if we reasonably believe a risk still exists after you

have provided us that information, we may take action to protect myStash, our

Users, a third party, or you from reversals, fees, fines, penalties, legal and/or

regulatory risks and any other liability.


myStash will make reasonable efforts to notify you of suspension or termination

where practicable, unless prohibited by law. Upon termination (however caused), you

lose access to your myStash Account, however, any pre-existing obligations or

liabilities will persist.

VOLUNTARY CLOSURE OF MYSTASH ACCOUNT

Without prejudice to myStash’s unilateral right to suspend or terminate your account

or access to its Services without prior notice for reasons listed in Section 10 above,

you have the option to terminate your agreement with myStash at any time, by

initiating the closure of your myStash Account by navigating to the Preferences

section of the mobile app.


Upon initiation of closure of your myStash Account, any pending transactions on your

MyStash Account shall be completed before the same is closed. Once your MyStash

Account is closed, we will transfer the balance of funds in your MyStash Account, if

any, to your Bank Account within 48 hours.

DORMANT ACCOUNT

If there is no activity involving deposits or withdrawals in your MyStash Account

consecutively for 365 days, your myStash Account will be considered dormant. We

will contact you through email, telephone, or the address on record to facilitate the

retrieval of the remaining funds in your MyStash Account. If, after 30 days of notifying you about the dormant status, there is no response, and your MyStash Account has

a zero balance, we may proceed to close the account.


For MyStash Accounts with remaining funds, if there is no response after informing

you about the dormant status for a specified period, as mandated by applicable laws,

we may be obligated to treat the funds as unclaimed property.

THIRD-PARTY SITES

Our Platform may contain links or references to third-party websites, applications, or

services ("Third-Party Sites") for your convenience. We reserve the right to modify,

add, or remove links to Third-Party Sites without notice.


By using our Platform, you agree to indemnify and hold us harmless from any claims,

damages, or losses arising from your use of Third-Party Sites. The inclusion of links

or references to Third-Party Sites does not imply our endorsement, sponsorship, or

affiliation with such sites.


You acknowledge that we have no control over the content, policies, or practices of

Third-Party Sites, and we disclaim any responsibility for the accuracy, legality, or

appropriateness of their content. Accessing and using Third-Party Sites is at your

own risk. We do not guarantee the security, functionality, or availability of Third-Party

Sites, and we make no warranty, express or implied, regarding the accuracy,

reliability, or legality of content on Third-Party Sites. You further acknowledge that

your use of Third-Party Sites is governed by their terms and policies. We recommend

reviewing these terms before engaging with Third-Party Sites.


We are not liable for any damages or losses incurred as a result of your interactions

with Third-Party Sites, including but not limited to financial transactions, data

breaches, or any other harm. You hereby release us from any claims or liabilities

arising from your use of Third-Party Sites. Any content, products, or services

provided by Third-Party Sites are the sole responsibility of the respective third

parties, and we disclaim any liability for such content.


MyStash Limited is an agent of Plaid Financial Ltd., an authorised payment institution

regulated by the Financial Conduct Authority under the Payment Services Regulations

2017 (Firm Reference Number: 804718). Plaid provides you with regulated account

information services through MyStash Limited as its agent.

INTELLECTUAL PROPERTY

Ownership of Intellectual Property: All intellectual property rights, including but not

limited to trademarks, service marks, trade names, logos, copyrights, patents, trade

secrets, and any other proprietary rights associated with the Platform and Services

(collectively referred to as "Intellectual Property"), are the exclusive property of

myStash.


Restrictions on Use: You agree not to reproduce, modify, distribute, display,

perform, or create derivative works based on the Intellectual Property, except as

expressly authorized in writing by myStash.


User-Generated Content: Any content, materials, or information provided by you

through the Platform ("User-Generated Content") shall remain your property.

However, you hereby grant myStash a worldwide, royalty-free, non-exclusive license

to use, reproduce, modify, adapt, publish, translate, distribute, and display such

User-Generated Content for the purpose of providing and improving the Services.


Reporting Intellectual Property Infringements: Users are encouraged to report

any suspected infringement of myStash's Intellectual Property or violations of these

terms promptly.


No Transfer of Ownership: Nothing in these Terms shall be construed as

transferring any ownership rights in the Intellectual Property from myStash to you or

any third party.


Third-Party Intellectual Property: You are responsible for ensuring that any content

they upload or share on the Platform does not infringe upon the intellectual property

rights of third parties.

INDEMNIFICATION & LIMITATION OF LIABILITY

Indemnification

You must indemnify myStash for actions related to your myStash Account and your

use of the Services. You agree to defend, indemnify and hold myStash harmless

from any claim, costs, penalties, or demand (including reasonable legal fees) or

other liabilities, made or incurred by any third party due to or arising out of your

breach of these Terms, your improper use of the Platform or our Services, your

violation of any applicable laws or the rights of a third party and/or the actions or

inactions of any third party to whom you grant permissions to use your myStash

Account or our Platform, or any of our Services on your behalf.


Limitation of liability

Our liability to you or any third parties in any circumstance is limited to the actual

amount of direct damages. In addition, to the extent permitted by applicable laws,

myStash is not liable, and you agree not to hold myStash responsible, for any

damages or losses (including, but not limited to, loss of money, goodwill, or

reputation, profits, or other intangible losses or any special, indirect, or consequential

damages) resulting directly or indirectly from:


  1. your use of, or your inability to use, our Platform;


  2. your use of Third-Party Sites;


  3. delays or disruptions in our Platform and any of the Services;


  4. viruses or other malicious software obtained by accessing our Platform;


  5. glitches, bugs, errors, or inaccuracies of any kind in our Platform or any of the

    Services or in the information and graphics obtained from them;


  6. the content, actions, or inactions of third parties;


  7. a suspension or other action taken with respect to your myStash Account; or


  8. Any inconvenience as a result of changes to these Terms or myStash's

    policies.

COMPLAINTS AND DISPUTES

All queries and complaints should be raised with our customer support

department through the support channel on the platform. Without prejudice to

any of our other rights to close a transaction under this Terms, in any case

where we are in dispute with you in respect of a transaction or alleged

transaction or any communication relating to a transaction, we may, at our

absolute discretion and without notice, close any such transaction or alleged

transaction, where we reasonably believe such action to be desirable for the

purpose of limiting the maximum amount involved in the dispute, and we will

not be under any obligation to you in connection with any subsequent

movement in the level of the transaction concerned.

DISCLAIMER

YOUR USE OF MYSTASH'S WEBSITE AND THE PERSONAL INFORMATION YOU

PROVIDE IS AT YOUR SOLE DISCRETION. THE PLATFORM, AND ALL

MATERIALS, INFORMATION, PRODUCTS, AND SERVICES INCLUDED THEREIN

ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT

WARRANTIES OF ANY KIND FROM MYSTASH.


MYSTASH EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND,

EXPRESS, IMPLIED, OR STATUTORY, RELATING TO MYSTASH'S WEBSITE,

CONTENT, AND/OR USER INFORMATION, INCLUDING WITHOUT LIMITATION

THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A

PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS,

COURSE OF DEALING OR COURSE OF PERFORMANCE. MYSTASH DISCLAIMS

ANY WARRANTIES, EXPRESS OR IMPLIED; REGARDING THE AVAILABILITY,

SECURITY, ACCURACY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF

THE PLATFORMS, MYSTASH'S, CONTENT, AND/OR USER INFORMATION; THAT

THE PLATFORMS WILL BE ERROR-FREE OR THAT ANY ERRORS WILL BE

CORRECTED; THAT MYSTASH'S PLATFORM WILL BE FREE FROM

ELECTRONIC VIRUSES; OR REGARDING THE PERFORMANCE OF OR

ACCURACY, QUALITY, CURRENCY, COMPLETENESS OR USEFULNESS OF

ANY INFORMATION PROVIDED BY MYSTASH ON ITS PLATFORMS.


NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY

YOU FROM ANY OF OUR PLATFORMS, SHALL CREATE ANY WARRANTY NOT

EXPRESSLY STATED IN THIS AGREEMENT. IF YOU CHOOSE TO RELY ON

SUCH INFORMATION, YOU DO SO SOLELY AT YOUR OWN RISK.

ANTI-MONEY LAUNDERING POLICY

In line with the Anti-Money Laundering and Combating Terrorism Financing,

we have the authority to monitor your transactions on our platform and your

use of our platform for any transaction or activity. Where we suspect a

transaction to be risky, we may temporarily place them as pending and

request additional documents or information. You agree that we reserve the

right to request additional documents and information that support your

transactions. We reserve the right to investigate you and your transactions if

we deem your activities to be fraudulent.

SET-OFF RIGHTS

By utilizing the Services, you hereby authorize myStash to debit their myStash

Account to settle any outstanding debts, penalties, or other sums, charges which you

may be liable for in connection with your use of the Services or our Platform,

including related fees or charges for the Services.

GOVERNING LAW AND DISPUTE RESOLUTION

You agree that, except to the extent inconsistent with or preempted by federal law

and except as otherwise stated in these Terms, the laws of the State of Delaware,

without regard to principles of conflict of laws, will govern these Terms and any claim

or dispute that has arisen or may arise between you and myStash.


You and myStash hereby agree that in the event of a dispute arising in connection

with these Terms, If the dispute is not resolved through informal means within 30

days from the date of the initial notice, the parties shall submit the dispute to

mediation. Mediation shall be conducted by a neutral third party mutually agreed

upon by both parties. The costs of mediation shall be shared equally, unless

otherwise agreed.

AMENDMENT AND UPDATES

We may alter these Terms at any time. We will notify you of any change by sending

you an email with details of the change or notifying you of a change when you next

start the myStash App. By using the myStash App after we have notified changes to

you, you will be taken to have accepted the changes. If you do not accept the

changes, you are advised to discontinue the use of the myStash App if the amended

Terms are not acceptable to you.

COMMUNICATION

You consent to receive communications from us electronically, such as e-mails, texts,

mobile push notices, or notices and messages on this site, and you can retain copies

of these communications for your records. You agree that all agreements, notices,

disclosures, and other communications that we provide to you electronically satisfy

any legal requirement that such communications be in writing.


If any condition in these Terms requires you to give notice to MyStash, you may send

such communication to us by e-mail at or email address below.
